The Company has power from time to time to increase or reduce its Capital and divide the Shares in the Capital for the time being into other classes and to attach thereto respectively such preferential, deferred, qualified or other special rights, privileges, conditions or restriction, as may be determined by or in accordance with the Articles of Association of the Company and to vary, modify, or abrogate any such right privilege or conditions or restrictions in such manner as may for the time being be permitted by the Articles of Association of the Company or the legislative provisions for the time being in force in that behalf."
C. Alteration in the Articles of Association of the Company in the following manner:
To delete the existing Article 3 and substitute in its place and instead thereof, the following new Article 3
3. "The Authorised Share Capital of the Company is Rs 3,25,00,000 divided into 3,25,00,000 and Equity Shares of Re 1/- each."

Sub Division of existing equity shares from every ONE equity share of Rs.10/- each into TEN equity shares of Re.1/- each.
The auction in the equity shares of Modison Metals Limited in Dematerialised Securities - Rolling Settlement Segment on 03/08/2007, 06/08/2007 and 07/08/2007 will be conducted as per face value of Rs.10/- each.
