3. The brief particulars of the Scheme of reduction of capital are as mentioned below:
The scheme of reduction of capital of the company was approved by the Hon'ble High Court of Delhi vide its order dated 8th April, 2004.
The issued, subscribed and paid-up capital of the company before reduction of share capital was Rs.1061.31 lakhs comprising of 1,06,13,100 equity shares of face value of Rs.10/- each fully paid up which has been reduced to Rs.636.78 lakhs comprising of 1,06,13,100 equity shares of Rs.6/- each fully paid-up by effecting a reduction in share capital of the company by 40%.
4. As per Exchange Notice No. 20040813-20 dated 13th August, 2004, the company had fixed 1st September, 2004 as 'Record Date', for giving effect to the Scheme and accordingly dealing in the abovementioned securities of the company was stopped with effect from 24th August, 2004.
5. Members may also note that in respect of shares held in physical form, the company has issued stickers for reduced face value of Rs.6/-. Hence the physical share certificates with or without stickers would be 'GOOD Delivery' in the market. Members should take due care and abundant caution while dealing/ receiving deliveries of these shares of the company from/ to the market.
6. The share transfer documents should be sent to the Registered Office of the Company at the address mentioned above.
7. The Company's Financial Year ends on 31st March.
