The reduction in the paid up value of equity share capital amounting to Rs.2866.66 1akhs together with an amount not exceeding Rs.665.97 lakhs of Share Premium account has been utilised to set off the accumulated loss of Rs.3532.62 lakhs as on 31.03.2005.A copy of the Order and the minutes approved by the High Court has been registered with the Registrar of Companies, Tamilnadu on 24th March 2 006.
4. The Board has recommended a dividend of Rs.0.75 Per Share on 114,666,153 equityshares(prior to consolidation and split-Refernote5 for the financial year2005-06.
5. The Board has approved consolidation of 2 equity shares of paid up value of Rs.7.50 each to be split into 3 equity shares of paid up of value of Rs.5/-each, which is subjecttotheapprovalof the shareholders in the ensuing Annual General Meeting of the company to be held on 19th August 2006.
