Meeting held on July 27, 2010, has, subject to requisite approvals being obtained by the Company, approved the sub-division (stock-split of each of the Equity Shares of the face value of Rs. 10 each in the Equity Share Capital of the Company fully paid-up into 10 Equity Sh4res of the face value of Re. 1 each fully paid-up and consequential amendments to the Capital Clauses in the Memorandum and Articles of Association of the Company. The Company proposes to seek consent of the Shareholders for the aforesaid by a Postal Ballot in accordance with Section 192A of the Companies Act, 1956 read with the Companies (Passing of the Resolution by Postal Ballot) Rules, 2001.
In this regard, the Company has informed that
1. The cut-off date for the purpose of ascertaining the voting rights of the Members of the Company has been fixed as August 17, 2010.
2. M/s. S. Srinivasan & Co., Company Secretaries, Chennai have been appointed as the Scrutinizers for conducting the postal ballot process in a fair and transparent manner.
3. The Notice for Postal Ballot and the Ballot forms will be despatched to all the Members on August 18, 2010.
