The Company has informed that members at Extraordinary General Meeting of the Company held on April 04, 2005 have accorded to the following:
1. Sub-division of each equity share of Rs 10/- of the Company into 10 equity shares of Re 1/- each and that the existing Authorised Equity Share Capital of Rs 10,00,00,000/- divided into 1,00,00,000 equity shares of Rs 10/- each be
sub-divided into 10,00,00,000 equity shares of Re 1 /- each, and consequential amendment in Memorandum of Association of the Company.
2. Sub-division 50,74,570 fully paid equity shares of Rs 10/- each of the Company into 5,07,45,700 fully paid equity shares of Re 1/- each.

Members of the Exchange are hereby informed that, Ruchi Infrastructure Ltd. has fixed the Record Date for the purpose of sub division and bonus issue.

Sub Division of existing equity shares from every ONE equity share of Rs.10/- each into TEN equity shares of Re.1/- each

The auction in the equity shares of Ruchi Infrastructure Ltd. in Dematerialised Securities - Rolling Settlement Segment on 21/04/2005, 22/04/2005 and 26/04/2005 will be conducted as per face value of Rs.10/- each and on cum-bonus basis. Members are, therefore, requested to take abundant precautions while mentioning the rates for offering the equity shares of the said company in auction on the said dates.
The scrip will be No Delivery from 21/04/2005 (DR-016/2005-2006) to 28/04/2005 (DR-021/2005-2006).
