Siemens Ltd has informed the Exchange that the Board of Directors has recommended subject to the approval of the Shareholders of the Company, the sub-division (stock split) of the present face value of the Equity Shares of Rs.10 each into 5 (Five) Equity Shares of the face value of Rs.2 each. A Committee of the
Board of Directors has also been constituted to take all the necessary steps for the implementation of the above decision.

alterations to the existing provisions relating to Share Capital of the Memorandum and Articles of Association of the Company. Further Mr. P N Parikh, Practising Company has been appointed as Scrutinizer.

The company has informed that the members of the Company will consider to approve Ordinary Resolution, by way of Postal Ballot, for sub-division (stock split) of each equity share of the Company from a present face value of Rs 10/-
into 5 equity shares of the face value of Rs 2/- each and consequential amendments in the Memorandum & Articles of Association of the Company.
The Committee of Directors constituted for this purpose has appointed Mr. P N Parikh, Practising Company Secretary as Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot forms duly completed should reach the Scrutinizer on or before the close of the working hours on May 09, 2006. The Scrutinizer will submit his report after completion of scrutiny and the result of the Postal Ballot will
