PURPOSE
Scheme of Arrangement: -
Demerger of the Towers Division of Sujana Metal Products Ltd. to Sujana Towers Ltd. (STL) (an Unlisted Company) and Amalgamation of Sujana Steels Ltd. (un Unlisted Company) with Sujana Metal Products Ltd.
Upon the transfer and vesting of the Towers Division of the company to STL, Sujana Towers Ltd. will issue and allot Equity Shares to the equity shareholders of Sujana Metal Products Ltd. in the ratio of ONE equity share of Rs.5/- each, fully
paid up of Sujana Towers Ltd. for every ONE Equity Share of Rs.10/- each held in Sujana Metal Products Ltd.
Capital Reduction:
The Existing share capital of the Sujana Metal Products Ltd. shall be reduced from Rs.38,83,30,350/- consisting of 3,88,33,035 equity shares of Rs.10/- each to Rs.19,41,65,175/- consisting of 3,88,33,035 equity shares of Rs.5/-
each.
