With reference to the earlier announcement dated March 31, 2011 regarding Outcome of Board Meeting held on March 30, 2011, Windsor Machines Ltd has now informed BSE that:
'With reference to point no. 5 of outcome of Board meeting submitted to Stock Exchange, we would like to clarify that as per the Sanctioned Scheme of BIFR the entire share capital of the Company shall be reduced by 60%. After this reduction the existing equity shares of face value of Rs. 10/- each would be of face value of Rs. 4/- each.
Further, as per the Sanctioned Scheme of BIFR, new equity shares of Rs. 4/- face/paid up value would be allotted to the equity share holders of the Company after approval at general meeting and thereafter, the equity shares (after completion of reduction & allotment) would be splitted/ sub-divided from equity shares of face value of Rs. 4/- each to two equity shares of face value of Rs. 2/- each.'
Windsor Machines Ltd has informed BSE that June 17, 2011 has been decided as a Record Date for reduction in share value by 60% as per Sanctioned Scheme of BIFR and Sub-division of equity shares as per special resolution passed at the Extra-ordinary General Meeting held on May 12, 2011.

2. The brief particulars of the scheme of reduction in capital are as mentioned below:
a) The scheme of reduction in capital of the Company was approved by the Hon'ble BIFR vide its order dated September 21, 2010.
b) Effective Date: March 30, 2011.
c) Date of Allotment: June 18, 2011.
d) As per the scheme, the issued, subscribed and paid-up equity capital of the company stand reduced by 60% from Rs. 1303.59 lacs consisting of 1,30,35,900 equity shares of face value of Rs.10/- each to Rs. 521.436 lacs consisting of 1,30,35,900 equity shares of Rs.4/- each. The reduction was effected by reducing the face value and paid up value of each equity share from Rs.10/- to Rs. 4/- per equity share by virtue of the Rehabilitation Scheme sanctioned by the BIFR vide its order dated September 21, 2010.
e) Further as per the scheme, the Company allotted 1,87,50,000 equity shares of Rs. 4/- each on preferential basis by virtue of the BIFR order dated September 21, 2010.
f) Thereafter the face value of the equity shares was subdivided from Rs. 4/- each fully paid up into two equity shares of Rs. 2/- each fully paid up.
g) The issued, subscribed and paid up capital of the Company post reduction, allotment of preferential shares and subdivision of shares will be Rs. 1271.4 lacs consisting of 6,35,71,800 equity shares of Rs. 2/- each.
3. As per Exchange Notice No 20110609-18 dated June 09, 2011, the company had fixed June 17, 2011 as record date for giving effect to the Reduction of the Capital pursuant to BIFR order and sub division of Equity shares of the Company.
4. Trading members may also note that in respect of shares held in physical form, to give effect to the Reduction of Share capital, the company has issued new share certificates and accordingly the old share certificates shall stand cancelled.
5. Trading members of the Exchange are informed that the Equity Share certificates in physical form bearing the undermentioned distinctive numbers of the company as stated alongside shall be good/bad delivery in the market.
